PLEASE READ THE TERMS AND CONDITIONS BELOW TO ACKNOWLEDGE AND SUBMIT.
TERMS AND CONDITIONS

1. Services.
During the term of this Hot Tub Service Contract (“the Contract”), Wolfgang’s Spa Works, Inc. (WSW) will perform the following services for Customer’s single hot tub (“the Hot Tub”) in exchange for payment of the fees outlined on our website (collectively, “Services”): (a) Testing and balancing the Hot Tub’s water chemistry tested and balanced; (b) Adding chemicals to the Hot Tub as needed; (c) Vacuuming the Hot Tub; (d) Cleaning the Hot Tub’s filter(s) and cover; (e) Adjust the Hot Tub’s water level if needed; (f) Noting the temperature of the Hot Tub’s water; (g)Keeping detailed record of readings of the Hot Tub in our database; (h) Scrubbing the shell with a spa brush; (i) Checking operation of the Hot Tub and contact owner if spa needs repairs; (j) Draining and filling the Hot Tub twice per year. The services provided by WSW pursuant to this contract DO NOT include any service not explicitly provided for in this paragraph, including, without limitation, the following: (a) Winterizing the Hot Tub; (b) De-Winterizing the Hot Tub; (c) The cost to replace the Hot Tub’s filters; (d) Excessive snow removal; (e) Moving the Hot Tub; (f) Excessive draining and filling of the Hot Tub (more than 3 times a year); and (g) Repairs to the Hot Tub. The services provided by WSW will be limited to one of Customer’s hot tubs. Service of additional hot tubs requires a separate agreement between WSW and Customer.

2. Additional Work.
Any work performed by WSW for Customer that is not included within the Services or materials ordered for the Customer (“Additional Work and Materials”), will be billed to Customer separately from the Services in accordance with WSW’s then existing prices and policies.

3. Payment and Billing.
WSW will bill Customer for the Service in accordance with the current fee schedule listed on the WSW website and for any Additional Work at the end of each month or beginning of the subsequent month in which the Service is provided. Customer agrees to pay all bills within thirty (30) days of receipt, whether by email, mail or otherwise. If Customer fails to make any payment when due or to honor any term or condition of this Contract, WSW may stop providing the Services and may charge Customer a late fee for each month that payment is not received and/or interest on the unpaid amount. WSW reserves the right to increase charges for the Services at any time after the first month of the Services upon written notice of such increase to Customer. If WSW incurs any costs or attorneys’ fees in collecting amounts owed form Customer, Customer agrees to pay WSW for such costs and attorneys’ fees. Notwithstanding the foregoing, the rights and remedies provided to WSW pursuant to this paragraph are cumulative and shall be in addition to any other rights and remedies available to WSW under law or contract.

4. Service Day.
The day of the week in which service is provided will be at the discretion of WSW and based upon the most efficient routing of service stops. Typically, downvalley service is provided in the beginning of the week while upvalley service is provided at the end of the week. WSW will make every effort to service Customer’s spa on the same day of the week. Schedules may be adjusted for Holidays at the discretion of WSW.

5. Term of Contract and Cancellation.
This Contract will be deemed accepted by WSW and will be in full force and effect on the date it is signed by Customer. This Contract is a month to month contract, and will automatically renew on the first day of every month following the date Customer signs this Contract for successive monthly periods until terminated. The Contract may be terminated by either party by providing written notice to the other party at least 24-hours before the next Service Day. Written notice of cancelation is effective as to WSW only if Customer sends notice to info@wolfgangspas.com.

6. Access to Hot Tub.
The Customer agrees to provide WSW with the access necessary to perform the Services during WSW’ normal working hours and without interruption, including, without limitation, providing WSW with any necessary keys or passcodes. If WSW, in its sole discretion, deems it unsafe to proceed onto Customer’s property or deems that WSW cannot reasonably access the Hot Tub, Customer agrees that it will nevertheless pay for the Services.a.Dogs. if Customer has dogs, Customer agrees to have them inside the house or restrained on the Service Day. If dogs are present when WSW arrives to perform service, the Customer agrees to accept full responsibility for and pay all costs associated with harm to WSW employees and/or the Customers dog(s) in the event of an altercation between the WSW employee and the dog(s).b.Snow. Customer agrees to have a cleared driveway for us to park in and remove snow from the Hot Tub’s cover and surroundings for us to access it. If WSW needs to and is able and or willing to remove more than 6” of snow, Customer agrees to pay additional charges for snow removal.c.Water. Customer agrees to provide WSW with instructions in advance of Service as to which water source WSW should utilize in performing the Service. Customer agrees to maintain all outdoor piping associated with the Hot Tub, and prevent such piping from freezing or leaking. WSW is not responsible for any frozen or leaking pipes or faucets on Customer’s property.

7. Relationship of the Parties.
In performing its obligations under this Contract, the Parties acknowledge that WSW is an independent contractor. Nothing in this Contract will create a joint venture, partnership, employment relationship, franchise relationship or taxable entity between the Parties.

8. No Guarantee or Warranty.
The Services cannot eliminate the occurrence of events they are intended to prevent, including, repairs to the Hot Tub, problems with the Hot Tub, and or any other issues of whatever kind associated with the Hot Tub. WSW makes no guaranty or warranty, including any implied warranty of merchantability of fitness for a particular purpose, that the Services will prevent issues with the Hot Tub. WSW does not undertake any risk that the Customer or its property, or the person or property of others, may be subject to injury or loss if such an event occurs. The allocation of such risk remains with the Customer.

9. Waiver and Indemnification.
Except for any injury or damage to persons or property that is caused by WSW’ gross negligence, fraudulent conduct, or willful misconduct, WSW is not responsible for any damages, claims, causes of action, fines, penalties, expenses, or any liability of whatever nature incurred by Customer (a) as a result of performance of this Agreement; or (b) as a result of WSW’ work for Customer, including, without limitation, water intrusion, mold, fungi, wet or dry rot that may result therefrom. If any other person, including Customer’s subrogation insurer, makes any claim or files any lawsuit against WSW in any way related to this Agreement or WSW’ work for Customer, Customer Agrees to indemnify, defend, and hold WSW harmless from any and all such claims and lawsuits, including the payment of all damages, expenses, costs and attorneys’ fees.

10. Assignment.
Customer may not assign this Contract without the prior written consent of WSW. WSW, on the other hand, does have the right to assign this Contract or to subcontract any of its obligations under this Contract without Customer’s approval and without notice to Customer.

11. Entire Agreement.
This Contract constitutes the entire agreement between the Parties. Customer is not relying on WSW’ advise, advertisements, representations, promises, conditions, inducements, warranties express or implied that are not included in writing within this Contract. The terms and conditions of this Contract apply as printed without alteration or qualification. This Contract may only be amended or modified by a writing signed by the Party upon whom enforcement is sought. If a court of competent jurisdiction determines that any provision of this Contract is invalid or unenforceable, that provisions shall be deemed amended and enforced to the maximum extent permitted by law, and each and every other provision of this Contract shall continue to be valid and enforceable.

12. Force Majeure.
Except for the payment of amounts owed hereunder by Customer, if the performance of any part of this Contract by either party is prevented, hindered, delayed or otherwise made impracticable by reason of any flood, riot, fire, judicial or governmental action, acts of terrorism or war, labor disputes, act of God or any other causes beyond the control of such party, that party will be excused from such to the extent that it is prevented, hindered or delayed by such causes.Governing Law. This Contract shall be governed, construed, and enforced in accordance with the laws of the State of New Mexico. The Parties agree that jurisdiction and venue for any action arising out of or related to this Contract shall rest exclusively with the County Court or District Court for Taos County, New Mexico, except that the Parties may agree to mediate or arbitrate any disputes.
